By using this website, submitting an inquiry, or engaging us for services, you agree to these Terms to the extent they apply to your relationship with us. Project-specific proposals, quotations, statements of work, contracts, or other written agreements may contain additional terms which take priority for that project.

Specific deliverables, responsibilities, timelines, and pricing will be defined separately for each engagement.

You may use this website for lawful purposes and to learn about our services, contact our team, or request information.
You must not knowingly:

We may restrict access where necessary to protect the website, our systems, or other users.
3. Project Proposals and Scope
Before work begins, project requirements may be documented through a proposal, quotation, statement of work, invoice, email confirmation, contract, or similar written agreement.
The agreed scope may identify:
- Deliverables
- Features
- Technology
- Project stages
- Estimated timelines
- Client responsibilities
- Fees
- Payment milestones
- Revision allowances
- Third-party costs
- Support arrangements
Work outside the agreed scope may require additional time, cost, or a revised schedule.
4. Client Responsibilities
Successful project delivery often depends on timely cooperation. Clients are responsible for providing, where applicable:
- Accurate project requirements
- Content
- Branding assets
- Product information
- Images and media
- Required credentials
- Hosting or domain access
- API access
- Third-party account access
- Feedback and approvals
- Legally authorized materials
Delays in receiving required information, access, feedback, or approvals may affect project timelines.
5. Accuracy of Client Information
You are responsible for ensuring information and materials supplied to us are accurate and that you have permission to use them.
This includes trademarks, images, copy, customer information, databases, software, plugins, fonts, videos, credentials, and other materials supplied for a project.
We are not responsible for disputes resulting from materials that a client was not authorized to provide or use.
6. Fees and Payments
Project fees and payment schedules will be specified in the applicable proposal, invoice, contract, or statement of work.
Unless otherwise agreed:
- Payments must be made according to the agreed milestones
- Additional work may require additional fees
- Third-party costs may be billed separately
- Work may be paused if agreed payments become overdue
- Final deliverables may depend on completion of outstanding payments
Taxes, banking charges, transaction fees, or other legally applicable charges may be handled as specified in the applicable agreement or invoice.
7. Changes to Project Scope
We understand that project requirements can evolve. If you request features or work outside the approved scope, we may:
- Provide a revised estimate
- Issue a change request
- Adjust the project timeline
- Create an additional project phase
- Recommend an alternative implementation
We will normally seek approval before beginning substantial out-of-scope work.
8. Timelines
Project timelines are estimates unless a written agreement states otherwise. Delivery dates may be affected by factors such as:
- Delayed client feedback
- Missing content or access
- Scope changes
- Third-party service issues
- Platform limitations
- External API changes
- Hosting problems
- Technical dependencies
- Events outside reasonable control
We aim to communicate material scheduling changes as early as reasonably possible.
9. Revisions and Approvals
Revision allowances, where applicable, will be defined in the project agreement. Once a design, feature, milestone, or deliverable has been approved, substantial later changes may be treated as additional work.
Clients should review deliverables carefully before providing approval.
10. Third-Party Platforms and Services
Our work may depend on third-party products or services such as WordPress, Shopify, Wix, Webflow, hosting providers, payment gateways, APIs, plugins, themes, advertising platforms, analytics platforms, email providers, CRM systems, and cloud infrastructure.
These services are controlled by their respective providers. We cannot guarantee that third-party services will remain available, unchanged, compatible, free from outages, or offered at the same price.
Changes made by third-party providers may sometimes require additional development work.
11. Third-Party Fees
Unless specifically included in a written agreement, clients are responsible for third-party expenses such as domain registration, hosting, premium plugins, themes, software licenses, API usage, advertising spend, payment-processing fees, SaaS subscriptions, app-store charges, and external services.
We should not purchase recurring third-party services on a client's behalf unless explicitly agreed.
12. Intellectual Property
Unless otherwise stated in a project agreement, ownership of custom final deliverables created specifically for a client transfers after all applicable project fees have been paid.
Netperl retains ownership of:
- Pre-existing intellectual property
- Internal development methods
- Reusable libraries
- General-purpose components
- Development tools
- Frameworks
- Know-how
- Processes
- Materials not created specifically for the client
Third-party software, plugins, fonts, libraries, themes, APIs, stock assets, and other licensed materials remain subject to their original licenses.
13. Portfolio Rights
Unless confidentiality terms, a separate agreement, or client instructions prohibit it, we may reference completed public-facing work in our portfolio or marketing materials.
Sensitive business information, credentials, private systems, confidential data, and non-public project materials should not be disclosed.
Clients may request that a project remain private.
14. Confidentiality
Information clearly identified as confidential, or reasonably understood to be confidential, should be handled with appropriate care. We will not intentionally disclose confidential client information except:
- To team members or authorized contractors who require it for the project
- With the client's permission
- Where legally required
Project-specific confidentiality agreements may provide additional protections.
15. Security
We follow reasonable development and security practices appropriate to the services being delivered.
However, no website, application, server, third-party platform, or internet-connected system can be guaranteed to remain completely secure or uninterrupted.
Clients are responsible for maintaining appropriate account security, access controls, credentials, backups, and security procedures for systems under their control unless those responsibilities are specifically included in our service agreement.
16. Website Maintenance
Unless an ongoing maintenance or support agreement is included, completion of a development project does not automatically include unlimited future updates, monitoring, content changes, compatibility fixes, security maintenance, hosting administration, third-party troubleshooting, or feature development.
Ongoing support can be arranged separately through our Website Maintenance & Support services.
17. SEO and Marketing Services
SEO, advertising, and marketing outcomes depend on many factors outside any single service provider's control. Search engines, advertising platforms, competitors, market conditions, audience behavior, algorithms, budgets, websites, offers, and third-party systems can affect results.
We therefore do not guarantee specific rankings, traffic levels, lead volumes, advertising costs, revenue, or other commercial outcomes unless expressly stated in a written agreement.
18. Staff Augmentation
Where professionals are provided through a staff augmentation arrangement, responsibilities such as working hours, reporting structure, tools, deliverables, confidentiality, and resource management will be defined in the applicable agreement.
The client remains responsible for project direction and day-to-day priorities unless otherwise agreed.
19. Suspension or Termination
Either party may terminate a service relationship according to the terms of the applicable project agreement. We may suspend work where reasonably necessary because of:
- Materially overdue payments
- Serious breach of agreed terms
- Illegal or abusive use of our services
- Security concerns
- Failure to provide essential project information
- Other circumstances described in a project agreement
Any outstanding payment obligations and provisions intended to survive termination remain applicable.
20. Disclaimer of Warranties
We aim to provide professional, reliable services. However, except where expressly agreed in writing or required by law, the website and services are provided without guarantees that they will:
- Be completely error-free
- Operate without interruption
- Remain compatible with every future third-party change
- Produce a particular commercial result
- Meet requirements that were not included in the agreed project scope
Nothing in these Terms excludes rights that cannot legally be excluded.
21. Limitation of Liability
To the maximum extent permitted by applicable law, neither party should be responsible for indirect, incidental, special, or consequential losses that were not reasonably foreseeable.
Any specific liability limitations or caps applicable to professional services should be set out in the applicable project agreement.
Nothing in these Terms limits liability where doing so would be prohibited by law.
22. External Websites
Our website may contain links to third-party websites. Those websites operate independently, and we are not responsible for their content, availability, security, terms, or privacy practices.
23. Privacy
Personal information collected through the website or during our business relationship is handled according to our Privacy Policy. Please review the Privacy Policy for more information about how personal information may be collected and used.
24. Changes to These Terms
We may update these Terms when our services, business practices, technology, or legal requirements change. The latest version will be published on this page with an updated revision date.
Changes will not retroactively alter signed project agreements unless both parties agree otherwise or applicable law requires it.
25. Governing Law
These Terms and any dispute relating to them will be governed by the laws specified in the applicable client agreement. For general website use where no separate agreement exists, the governing law and jurisdiction will be determined according to the primary place of business of Netperl.
